Terms of Service

1. Acceptance of Terms

By accessing or using Seatify ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Seatify is a cloud-based seating chart and event management application that allows you to create and manage seating arrangements for events such as weddings, corporate dinners, and parties. All event data is stored on secure cloud infrastructure.

The Service includes RSVP collection, guest management, seating optimization, and event communications such as email invitations and reminders.

3. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Not attempt to interfere with or disrupt the Service
• Not use the Service to store or transmit malicious code
• Maintain the security of your account credentials and data
• Provide accurate information when creating an account or subscribing to updates
• Obtain appropriate consent from individuals whose personal information you upload or collect through the Service, including guest lists and RSVP responses
• Comply with applicable data protection laws (including GDPR, CCPA, and similar regulations) when collecting attendee information through the Service
• Not upload sensitive personal data beyond what is reasonably necessary for event planning purposes

4. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Seatify and is protected by international copyright, trademark, and other intellectual property laws.

Your event data (guest lists, seating arrangements, etc.) remains your property. We claim no ownership over user-generated content.

The optimization algorithms, scoring methods, and proprietary logic used within the Service constitute trade secrets of Seatify. You may not reverse-engineer, decompile, disassemble, or otherwise attempt to extract or derive the algorithmic logic or source code of the Service.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

• Event data (including guest lists, seating arrangements, and venue configurations) is stored on secure cloud infrastructure managed by our hosting and database providers
• We process personal information on your behalf as a data processor; you remain the data controller for any personal data you provide or collect through the Service
• RSVP data — including names, email addresses, dietary restrictions, accessibility needs, and seating preferences — is stored securely and used solely for event planning purposes
• The seating optimization feature processes guest data algorithmically to generate arrangement suggestions
• We use third-party service providers for hosting, database storage, email delivery, and payment processing; please refer to our Privacy Policy for details
• You may export or request deletion of your event data at any time through the Service or by contacting us

5a. Automated Processing

The Service includes a seating optimization feature that uses algorithmic processing to suggest seating arrangements for your events.

• The optimization considers relationships between guests, seating constraints, preferences, and other event data you provide
• All suggestions generated by the optimization are recommendations only — you retain full control over final seating arrangements
• No automated decisions with legal or similarly significant effects are made about your guests based on this processing

5b. Data Processing on Behalf of Users

When you collect personal information from attendees via RSVP forms or other features of the Service, Seatify processes that data on your behalf.

• You are responsible for providing appropriate privacy notices to your attendees regarding how their data will be collected, used, and stored
• We will not use attendee data for any purposes other than providing and improving the Service as described in these Terms and our Privacy Policy
• We will not sell attendee data to third parties
• We will not share or use attendee data for marketing, advertising, or any purpose unrelated to delivering the Service

6. Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted access. We may:

• Modify or discontinue features with or without notice
• Perform maintenance that temporarily affects availability
• Suspend or terminate the Service at our discretion

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement

We do not warrant that the Service will be error-free, secure, or available at all times.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEATIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or information
• Loss of profits or business opportunities
• Event planning disruptions
• Any damages resulting from Service use or inability to use

9. Indemnification

You agree to indemnify and hold harmless Seatify and its operators from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of the modified Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@seatify.app. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
